We delivered CFO services to one of Maryland’s most significant cultural institutions, providing guidance to their CEO and Board on a range of critical financial management issues.

Transaction Advisory and Fundraising

We provided advisory services to a technology development company based in the southeastern US that owns a portfolio of patented energy technology products. The company, which focuses on pioneering power line safety solutions and transmission management products for utility companies, was in urgent need of financing for further development, marketing, and manufacturing of its products.


In our role, we provided financial and structural transaction advice that drove the development of a revised strategic and operating plan, created transaction marketing materials targeting potential investors more effectively, and enhanced the clarity of the company's financial projections, all in support of a $14 million equity placement. We drafted the Business section, along with all financials and valuations, for the company’s Private Placement Memorandum (PPM), which contributed to the company's successful closing of a portion of their Series A round.

Transaction Advisory and Fundraising

We were retained by a Mississippi-based business licensed to operate in the medicinal cannabis market to provide advice and support in acquiring the licenses, operating permits, physical production plant, current inventory, distribution agreements, and marketing assets of a wholesale grower in the Mississippi medicinal market.

In our role, we assisted the entity in producing a financial model, valuation range, proposed financial structure, and marketing materials to support the analysis by potential investors and/or debt providers who might seek to engage with the business. The business plan, financial model, and valuations resulted in the company closing on its first angel investor as part of a $1.1M raise. 

Southern Africa Mine Investor Diligence 

We advised an investor consortium pursuing the acquisition of a controlling interest in a $9M mining project in Southern Africa. The acquisition contemplated significant pre-closing expenditures, staged payments, and reliance on recent mineral survey reports, warranting confirmation of lithium and related mineral deposits. 

We examined the transaction documents around the operational condition and status of the mining license ownership to determine their accuracy and authenticity. A project monetization strategy was formulated based on the credibility of the mineral reports and the claims regarding lithium and related mineral reserves.

Our role also involved evaluating the acquisition terms and funding feasibility for the transaction. Our analysis guided investor participation and helped to identify and address acquisition timing risks as investors explored valuation ranges and developed capital structure options to support equity and debt funding discussions and pre-closing risks.

West Africa Telecom Diligence

We advised a U.S. investment group exploring a strategic stake in a dominant last-mile fiber-to-home operator and Wi-Fi provider in West Africa. The engagement involved assessing the company’s broadband, fintech integrations, and Wi-Fi ecosystem, financial projections (+40% CAGR revenue growth), and regulatory positioning under the country’s Broadband Plan. The scope encompassed an initial assessment of operational performance and exploring how to finance the expansion potential under ambitious national broadband targets. 

In our role, we evaluated the company’s pipeline of revenue opportunities and modeled the capital requirements needed to scale services, presenting equity, debt, and hybrid funding options to provide the company with data for negotiations with stakeholders.

Transaction Advisory

Fixed Fee Franchise Sale and Transfer Service

We advise franchisees who want to exit their franchise business, for a variety of reasons, through a negotiated sale or transfer. The engagement includes assessing transfer conditions and financial risks, coordinating advisors, and compiling full operational and financial diligence.  

In our role, we will compile disclosure packages, negotiate and draft the Asset Purchase Agreement (APA) and post-closing documents, ensure compliance with franchise transfer rules, and manage escrow activity with the third-party service to protect both buyer and seller interests.

Transaction Advisory

Acquisition or Buy-Out of a Co-Owner's Interest

We were retained by one of two equity partners of a national home-auto-life insurance agency to advise on purchasing his co-owner’s interest. The engagement encompassed structuring an internal buyout that aligned with our client’s cash-flow expectations and risk tolerances.

In our role, we led legal diligence on borrower guarantees, verified recurring revenues, responded to lender underwriting requests, and modeled financing options that resulted in a term sheet from a lender that balanced rate, amortization, and pre-payment flexibility.
