Nimibia Mine Acquistion


We were retained by a Philadelphia-based investor consortium pursuing acquiring a controlling interest in a $9M mining project in Namibia. The acquisition contemplated significant pre-closing expenditures, staged payments, and reliance on recent mineral survey reports warranting confirmation of lithium and related mineral deposits. 


We reviewed transaction documents that purported to show ownership of the mine, its operational status and mining license status. We developed a project monetization strategy based on the credibility of the mineral reports claims of lithium and associated mineral reserves.


In our role, we evaluated acquisition terms and assessed the funding feasibility for the transaction. Our analysis guided investor participation and helped to identify and address acquisition timing risks as investors explored valuation ranges; and develop capital structure options to support equity and debt funding discussions; and pre-closing risks.

Nigeria Telecom Opportunity


We advised a U.S. investment group exploring a strategic stake in a dominant last mile fiber-to-home operator and WiFi provider in Nigeria. The engagement involved assessing the company’s broadband, fintech integrations, and WiFi ecosystem, financial projections (+40% CAGR revenue growth), and regulatory positioning under the country’s Broadband Plan. The scope encompassed an initial assessment of operational performance and exploring the expansion potential under ambitious national broadband targets. 


In our role, we, audited the company’s revenue pipeline and modeled capital requirements for scaling services, presenting equity, debt, and hybrid funding pathways to equip the company with data for negotiations with stakeholders.

Insurance Agency


We were retained by one of two equity partners of a national home-auto-life insurance agency to advise on purchasing his co-owner’s interest. The engagement encompassed structuring an internal buyout that aligned with our client’s cash-flow expectations and risk tolerances.

In our role, we led legal diligence on borrower guarantees, verified recurring revenues, coordinated lender underwriting requests, and modeled financing options producing a term sheet that balanced rate, amortization, and pre-payment flexibility.

Franchise Sale & Transfer


We advised a franchisee exiting their franchise business through a negotiated transfer. The engagement included assessing transfer conditions, coordinating advisors and compiling full operational and financial diligence. 

In our role, we compiled disclosure packages, negotiated and drafted the APA and post-closing documents, ensured compliance with franchise transfer rules, and managed escrow activity with the third party service to protect both buyer and seller interests.
